Art Spoon PAYMENT & REFUND POLICY

Effective Date: March 1, 2026

1. Scope and Application

1.1 This Payment & Refund Policy (“Policy”) governs billing, payment, recurring subscriptions, renewals, cancellations, refunds, returns, and related matters for paid Products offered by Art Spoon Inc. (“Art Spoon,” “we,” “us,” or “our”).

1.2 This Policy forms part of, and is incorporated into, the Agreement between you and Art Spoon, including the General Terms & Conditions of Service, any applicable Product Terms, any Order Form, and any signed Professional Services Agreement.

1.3 In the event of a conflict between this Policy and the General Terms & Conditions of Service, this Policy will control solely with respect to billing, payment, recurring charges, cancellations, refunds, returns, credits, and related financial matters, unless a signed Order Form or Professional Services Agreement expressly states otherwise.

2. Fees, Charges, and Taxes

2.1 Fees for Products may include subscription fees, transaction-based fees, implementation or onboarding fees, professional services fees, marketplace fees, shipping charges, taxes, and any other amounts disclosed at checkout, in an invoice, in the applicable Product Terms, or in an Order Form.

2.2 All fees are stated and payable in the currency identified at checkout, in the invoice, or in the applicable Order Form.

2.3 Unless otherwise expressly stated, all fees are exclusive of applicable sales, use, value-added, withholding, or similar taxes, duties, or governmental charges. You are responsible for all such charges except taxes based on Art Spoon’s net income.

2.4 You authorize Art Spoon and its payment processors to charge the payment method you provide for all amounts due under the Agreement.

3. Billing and Payment

3.1 For subscription Products, fees will be billed in advance for the applicable Billing Period unless otherwise stated in the applicable Product Terms or Order Form.

3.2 For transaction-based or usage-based Products, fees may be charged at the time of transaction, on a periodic invoice cycle, or as otherwise disclosed in the applicable Product Terms.

3.3 You must provide current, complete, and accurate billing and payment information and promptly update any changes to your payment method, billing address, tax information, or contact details.

3.4 If a payment fails, is declined, is reversed, is charged back, or cannot otherwise be processed, Art Spoon may:

3.4.1 retry the charge;

3.4.2 request an alternative payment method;

3.4.3 suspend or limit access to the applicable Product;

3.4.4 cancel the applicable order or subscription; and/or

3.4.5 recover reasonable chargeback, collection, or processing costs to the extent permitted by law.

4. Subscription Plans and Automatic Renewal

4.1 Certain Products are offered on a recurring subscription basis.

4.2 TO HELP ENSURE CONTINUOUS SERVICE, EACH SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR SUCCESSIVE BILLING PERIODS OF THE SAME LENGTH AS THE THEN-CURRENT BILLING PERIOD, OR SUCH OTHER PERIOD AS DISCLOSED TO YOU, UNLESS YOU CANCEL BEFORE THE APPLICABLE CANCELLATION DEADLINE.

4.3 At or before checkout, Art Spoon will clearly and conspicuously disclose, where applicable:

4.3.1 that the subscription will automatically renew unless canceled;

4.3.2 the renewal term;

4.3.3 the amount to be charged, or the method for determining that amount;

4.3.4 the applicable cancellation deadline; and

4.3.5 the method by which you may cancel.

4.4 For Consumer User subscriptions subject to applicable automatic renewal law, where required by law, Art Spoon will send a clear and conspicuous renewal reminder notice before the applicable cancellation deadline. The reminder notice may include:

4.4.1 that the subscription will automatically renew unless canceled;

4.4.2 the cancellation deadline;

4.4.3 the renewal term;

4.4.4 the renewal price or fee; and

4.4.5 how to cancel.

4.5 If you enrolled online, and applicable law so requires, Art Spoon will make an online cancellation mechanism available.

5. Price Changes

5.1 Art Spoon may change fees, subscription pricing, transaction fees, shipping charges, or billing terms upon advance notice to you.

5.2 Unless otherwise stated, any pricing change will take effect no earlier than the next renewal term after notice is provided.

5.3 If you do not agree to a pricing change, you must cancel before the applicable cancellation deadline for the next renewal.

6. Cancellation

6.1 You may cancel a subscription at any time using the cancellation method made available in your account settings, billing portal, checkout confirmation, renewal notice, by contacting support, or by another method made available by Art Spoon.

6.2 To avoid being charged for the next Billing Period, you must cancel before the applicable cancellation deadline.

6.3 Unless otherwise expressly stated in a Product Term, Order Form, or signed agreement:

6.3.1 cancellation stops future renewals only; and

6.3.2 your access to the Product continues through the end of the then-current paid Billing Period.

6.4 Deleting your account does not automatically cancel outstanding subscriptions or unpaid charges unless the Product expressly provides otherwise.

6.5 If you are on a free trial and cancel before the trial ends, you will not be charged for the first paid Billing Period unless otherwise clearly disclosed at sign-up.

7. Refunds for Digital Products and Subscription Services

7.1 Initial Subscription Refund Window. Unless otherwise stated in a signed Order Form, non-cancelable enterprise commitment, or specific Product Term, you may request a full refund of your initial subscription fee within fourteen (14) calendar days after the original purchase date for your first paid subscription to a Product.

7.2 No Prorated Refunds After Initial Window. After the initial fourteen (14)-day refund window, subscription fees are generally non-refundable, and Art Spoon does not provide prorated refunds for:

7.2.1 partial Billing Periods;

7.2.2 unused time;

7.2.3 downgrades effective at the end of a Billing Period; or

7.2.4 early voluntary cancellation,

except where required by applicable law, expressly stated in a Product Term, or expressly approved by Art Spoon in writing.

7.3 Renewal Charges. Renewal charges are generally non-refundable once processed, except where required by applicable law, where a renewal was processed in error, or where a renewal is invalid, voidable, or ineffective under applicable law.

7.4 Duplicate or Incorrect Charges. If you believe you were charged in error, including a duplicate charge, incorrect amount, or unauthorized renewal, you must notify Art Spoon within a reasonable time after the charge appears. If we confirm an error, we may issue a refund, reverse the charge, or provide a service credit, as appropriate.

7.5 Service Credits. Where permitted by law, Art Spoon may offer account credits, billing credits, or goodwill credits in lieu of or in addition to a refund. Unless otherwise stated, service credits:

7.5.1 have no cash value;

7.5.2 are non-transferable;

7.5.3 may be applied only to future eligible charges; and

7.5.4 expire if not used within the period stated when issued.

8. Refund Exclusions

8.1 Except where required by applicable law or expressly stated otherwise, Art Spoon is not obligated to provide refunds for:

8.1.1 changes of mind after purchase;

8.1.2 lack of use or infrequent use of the Product;

8.1.3 failure to cancel before the renewal charge is processed;

8.1.4 dissatisfaction caused by unsupported configurations, third-party software, or your own systems;

8.1.5 outages, delays, or interruptions caused by an Excluded Event under the Agreement;

8.1.6 fees for completed professional services, onboarding, migration, implementation, consulting, or custom work already performed;

8.1.7 products or services identified as non-cancelable or non-refundable at the time of purchase; or

8.1.8 minor defects or issues that do not materially impair the core functionality of the Product and that Art Spoon is working in good faith to correct.

9. Marketplace Transactions and Third-Party Sellers

9.1 Some marketplace transactions may involve third-party sellers, galleries, artists, or other non-Art Spoon parties.

9.2 Unless Art Spoon is expressly identified as the seller of record for the specific item or transaction, Art Spoon is not the seller of the item and does not independently guarantee the third party’s pricing, fulfillment, shipping, refund, return, or exchange obligations.

9.3 For third-party seller transactions, the applicable seller’s payment, refund, return, shipping, and cancellation terms may apply in addition to this Policy.

9.4 Nothing in a third-party seller policy may waive any mandatory legal rights that cannot be waived.

10. Returns and Refunds for Physical Goods Sold Directly by Art Spoon

10.1 This Section applies only to physical goods or artworks sold directly by Art Spoon as seller of record.

10.2 Standard Return Window. Subject to this Policy, you may request a return within fourteen (14) calendar days after documented delivery, provided the item:

10.2.1 is returned in the same condition as received;

10.2.2 is unused except as reasonably necessary for inspection;

10.2.3 includes original packaging where practicable; and

10.2.4 otherwise complies with any listing-specific return condition disclosed at purchase.

10.3 Non-Returnable Items. Unless required by law or expressly authorized by Art Spoon, the following may be non-returnable:

10.3.1 custom-made, commissioned, personalized, or made-to-order items;

10.3.2 items marked “final sale” or “non-returnable” at the time of purchase;

10.3.3 perishable items;

10.3.4 sealed items that are not suitable for return once opened for hygiene or safety reasons, where applicable; and

10.3.5 items damaged after delivery due to your misuse, neglect, mishandling, improper storage, or unauthorized alteration.

10.4 Damaged, Defective, or Materially Misdescribed Goods. If a physical good or artwork sold directly by Art Spoon is damaged on arrival, defective, or materially inconsistent with its listing description, you must notify us within fourteen (14) calendar days after delivery or such longer period as required by applicable law. Subject to verification, Art Spoon may provide:

10.4.1 a refund;

10.4.2 a replacement;

10.4.3 a repair; or

10.4.4 another remedy required by applicable law.

10.5 Return Shipping Costs. Unless the return is due to damage before receipt, defect, shipment error, or material misdescription, you are responsible for return shipping, packaging, and insurance costs.

10.6 Condition Verification. Art Spoon may inspect returned items before approving a refund or exchange. If a returned item does not satisfy the return conditions stated in this Policy, Art Spoon may reject the return, reduce the refund to reflect diminished value where permitted by law, or return the item to you at your expense.

11. Refund Method and Timing

11.1 Approved refunds will generally be issued to the original payment method used for the purchase, unless otherwise required by law or otherwise agreed by Art Spoon.

11.2 Refund processing times may vary depending on your payment method, card issuer, financial institution, payment network, or payment processor.

11.3 Any delivery date for a refund is an estimate only. Art Spoon is not responsible for delays caused by payment networks, banks, card issuers, or third-party payment processors after Art Spoon initiates the refund.

12. Chargebacks and Payment Disputes

12.1 Before initiating a chargeback or payment dispute with your card issuer or payment provider, you agree to contact Art Spoon first and provide a reasonable opportunity to investigate and resolve the issue.

12.2 If you initiate a chargeback for a valid charge in violation of this Policy or the Agreement, Art Spoon may, to the extent permitted by law:

12.2.1 dispute the chargeback;

12.2.2 suspend or terminate your access to the affected Product;

12.2.3 recover the charged-back amount and any associated fees or costs; and/or

12.2.4 restrict future purchase or billing privileges on your account.

12.3 This Section does not limit any legal rights you may have to challenge genuinely unauthorized or unlawful charges.

13. Invoices, Late Payment, and Collections

13.1 If Art Spoon issues invoices instead of charging a payment method immediately, you must pay all undisputed amounts by the due date stated on the invoice.

13.2 If an undisputed invoice remains unpaid after its due date, Art Spoon may:

13.2.1 suspend access to the applicable Product after notice and a reasonable opportunity to cure, unless a shorter period is stated in an Order Form;

13.2.2 charge interest on overdue amounts at the lesser of (a) 1.5% per month or (b) the maximum rate permitted by law; and

13.2.3 recover reasonable collection costs and attorneys’ fees where permitted by law.

13.3 You may not withhold, offset, or deduct amounts due except to the extent required by applicable law or expressly agreed by Art Spoon in writing.

14. Trials, Promotions, Discounts, and Coupons

14.1 Art Spoon may offer free trials, promotional pricing, discounts, coupon codes, credits, or other temporary offers.

14.2 Unless otherwise expressly stated:

14.2.1 promotional offers apply only once per eligible account;

14.2.2 offers may not be combined;

14.2.3 offers have no cash value;

14.2.4 offers may expire if not used within the stated period; and

14.2.5 after a free or discounted period ends, standard pricing will apply.

14.3 Art Spoon may modify, suspend, or terminate a promotion at any time, subject to honoring offers already validly redeemed and except where prohibited by law.

14.4 If Art Spoon determines that a discount, coupon, or promotion was used fraudulently, abusively, or in violation of its stated terms, Art Spoon may revoke the benefit, reverse the discount, or charge the full applicable amount.

15. Account Changes, Upgrades, and Downgrades

15.1 If you upgrade a subscription plan during an active Billing Period, Art Spoon may charge the prorated difference immediately or apply the new rate at the next renewal, depending on the Product and billing model disclosed to you.

15.2 If you downgrade a subscription plan, the downgrade may take effect immediately or at the next renewal date, as specified in the applicable Product Terms or billing interface.

15.3 Unless otherwise stated, downgrades do not create an automatic entitlement to a refund for unused portions of the current Billing Period.

15.4 If you remove paid add-ons, seats, storage, or usage tiers, related billing changes may take effect at the next billing cycle unless otherwise disclosed.

16. Regional Rights and Mandatory Consumer Protections

16.1 Nothing in this Policy limits or excludes any refund, cancellation, withdrawal, return, repair, replacement, credit, or other consumer right that cannot be waived under applicable law.

16.2 If you are entitled to additional protections under consumer protection, e-commerce, subscription renewal, card payment, distance selling, or similar laws in your jurisdiction, this Policy will be interpreted to comply with those mandatory protections to the extent applicable.

16.3 If any provision of this Policy is held invalid or unenforceable under applicable law, the remaining provisions will remain in full force and effect.

17. Policy Changes

17.1 Art Spoon may update or modify this Policy from time to time.

17.2 If we make a material change, we will provide notice by posting the updated Policy, updating the “Effective Date,” providing notice through the Product, or by another reasonable method.

17.3 Unless otherwise required by law, changes take effect on the stated Effective Date. Your continued purchase, subscription, renewal, or use of paid Products after the Effective Date constitutes acceptance of the revised Policy.

18. Contact for Billing and Refund Requests

18.1 To request cancellation, report a billing issue, request a refund, or ask a question about this Policy, you must contact Art Spoon through the billing support method identified in your account, invoice, checkout confirmation, or support page.

18.2 You should include sufficient information for us to identify the transaction, including your account email, invoice number, order number, Product name, date of charge, and the reason for your request.

18.3 Art Spoon may request additional information reasonably necessary to verify your identity, confirm the transaction, investigate the issue, and prevent fraud or unauthorized refunds.
